Position Overview
The Paralegal will work closely with Company attorneys and other personnel to support a wide range of legal, regulatory, and administrative matters. This position is well-suited for an individual who enjoys taking initiative, demonstrates sound judgment, and is eager to contribute to the legal and compliance functions.
Essential Functions (Other Duties as Assigned)
- Maintain and update the corporate entity database, including directors, officers, addresses, and ownership information.
- Draft and prepare board resolutions, officer certificates, secretary certificates, powers of attorney, and other corporate documentation under attorney supervision.
- Manage internal delegations of authority and provide guidance to internal stakeholders.
- Partner with the compliance team to support the Company's compliance and regulatory practices.
- Provide direct support to internal counsel on a range of legal, transactional, and operational matters.
- Manage the organization, storage, and dissemination of legal documents and other departmental records.
- Support contract intake, execution, and post-execution administration.
- Assist with legal research, reporting, and ad-hoc projects as assigned.
Requirements
Education and Experience
- Bachelor’s Degree in related field
- Paralegal certificate or equivalent combination of education and experience
- 5+ years of experience working as a paralegal or in a similar capacity
Knowledge, Skills, and Abilities
- Exceptional attention to detail and accuracy
- Strong written, verbal, and analytical skills
- Proven ability to manage multiple priorities and deadlines in a fast-paced environment
- Proficient in Microsoft Office (Word, Excel, PowerPoint, Outlook)
- Discretion and professionalism in handling confidential information
- Familiarity with entity management software (e.g. Diligent Entities, CSC) preferred
- Experience in a corporate legal department law firm preferred
- Experience with Microsoft Visio preferred
- Ability to work independently while exercising sound judgment and knowing when to escalate issues
- A collaborative mindset with the ability to build strong relationships across teams
- High level of organization, follow-through, and ownership of responsibilities
- Professional demeanor when interacting with senior management, directors, and external parties
Physical Requirements:
· Ability to work at a computer for extended periods
· Occasional travel may be required; up to 10%
